The deal in plain English.

Effective date: April 18, 2026.

These Terms govern your use of the MnemoPay service and the mnemopay.com site ("Service"), operated by J&B Enterprise LLC ("Company," "we," "us"). By using the Service you agree to these Terms.

1. Two flavors of MnemoPay

The open-source SDK (@mnemopay/sdk, gridstamp, mnemopay Python) is Apache 2.0 — governed by the license file in each repo, not these Terms. The managed Service (Pro, Enterprise) is what these Terms cover.

2. Accounts

One human or legal entity per account. Keep credentials safe.
No sharing accounts across unrelated organizations.
You're responsible for anything done under your account.

3. Payment & auto-renewal

Pro is $49/month. Enterprise is $299/month. Prices excluded of tax. Both auto-renew monthly via Stripe until cancelled.
Cancel anytime in the billing portal; cancellations take effect at the end of the current period.
Refunds: full refund within 14 days of first charge if you haven't exceeded 10,000 calls. After that, pro-rated only if we materially break an SLA.

4. Acceptable use

Don't use the Service to:

Commit fraud, launder funds, or evade sanctions.
Target the Service with DoS attacks, mass scraping, or reverse-engineering for a clone.
Fabricate, alter, or replay GridStamp proofs.
Train foundation models on our code or receipts without a separate written license.

5. Agent Credit Score disclaimer

The Agent Credit Score is an internal reputation metric. It is not a consumer credit report, not regulated under the Fair Credit Reporting Act, and not intended to be used to make decisions about human consumers. Use it to govern agents, not people.

6. Uptime & SLA

Pro: best-effort availability. Target 99.5%, no credit.
Enterprise: 99.9% monthly SLA with service credits defined in the order form.

7. Your data & IP

You retain everything you bring. We get the license necessary to operate the Service: store it, route it, compute the outputs you request. Covered in the Privacy Policy.

8. Warranty disclaimer

Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory — including merchantability, fitness, and non-infringement.

9. Liability cap

Our aggregate liability in any 12-month period won't exceed the fees you paid us in the prior 12 months, or $100, whichever is greater.

10. Termination

You: cancel anytime.
Us: we can terminate for material breach of these Terms, non-payment, or legally-required reasons. We'll give 30 days' notice where the law and facts allow.

11. Governing law

Texas law, USA. Venue: state or federal courts located in Dallas County, Texas. Both sides waive jury trial.

12. Changes

We can update these Terms. Material changes get 30 days' notice to paid accounts. Continued use means acceptance.
